(1) A director ceases to hold office when he or she—
(a) dies or resigns;
(b) is removed in accordance with section 84; or
(c) is no longer qualified in accordance with this Act.
(2) A resignation of a director becomes effective on—
(a) the date when the resignation was received; or
(b) the date specified in the resignation.
