(1) A director of a society is entitled to receive notice of and to attend and be heard at every general meeting of members.
(2) Where a director—
(a) resigns;
(b) receives a notice or otherwise learns of a meeting of members called for the purpose of removing him or her from office; or
(c) receives a notice or otherwise learns of a meeting of directors or members at which another person is to be appointed or elected to fill his or her office, whether because of his or her resignation or removal or because his or her term of office has expired or is about to expire,
he or she is entitled to submit to the society a written statement giving the reason for his or her resignation or the reasons why he or she opposes any proposed action or resolution.
(3) A society shall immediately send a copy of the statement mentioned in subsection (2) to the Registrar and shall make available a copy of the statement to every member.
(4) A society or person acting on its behalf does not incur any liability by reason only of circulating a director's statement sent in compliance with subsection (3).
