(1) Where—
(a) a society is to be dissolved under this Part; or
(b) no liquidator is appointed by the members or the Court,
the Registrar may appoint a liquidator to wind up the affairs of the society.
(2) Despite subsection (1) where the Registrar is satisfied that the society has no assets and liabilities, he or she may issue a certificate of dissolution in the prescribed form.
