Where the Commission is satisfied that it is necessary for the protection of investors or for the proper regulation of a clearing agency, the Commission may issue directions—
(a) with respect to the manner in which the clearing agency carries on any aspect of its business; or
(b) with respect to any other matter that the Commission considers necessary for the effective administration of this Act, and the clearing agency shall comply with the direction.
