2. Declaration
Companies registered or incorporated in Saint Lucia, Barbados, the Commonwealth of Dominica and Saint Vincent and the Grenadines in which —
-
(a) at least 50% of its Directors are citizens of the Member States listed in the Schedule;

(b) at least 50% of the votes exercisable at a meeting of the shareholders or which would be exercisable at a meeting of the shareholders was held or are vested in citizens of the Member States listed in the Schedule; or
-
(c) the amount paid or payable in any period of 12 months as dividend to those members of the company who are citizens of the Member States listed in the Schedule exceeds 50% or more of the total amount paid or payable by the company as dividends in the same period,
are exempt from the provisions of the Aliens (Licensing) Act.
