44.   Making of contracts on behalf of registered society

  1.  

    (1)   Contracts on behalf of a registered society may be made, varied, or discharged as follows—

    1.  

      (a)     any transfer, mortgage, or contract which, if made between private persons, would be by law required to be made in writing, and any document required to be executed on behalf of the society, may be passed, received, or executed on behalf of the society, in writing, either under the common seal of the society, or under the signature of 2 trustees and the secretary or 2 members of the committee and the secretary, and any such contract may in the same manner be varied or discharged;

      (b)     any contract which if made between private persons would be by law required to be in writing and signed by the person to be charged therewith, may be made on behalf of the society in writing, by any person acting under the express or implied authority of the society, and may in the same manner be varied or discharged;

      (c)     any contract, which if made between private persons, would be by law valid though made by parole only and not reduced into writing, may be made by parole on behalf of the society by any person acting under the express or implied authority of the society, and may in the same manner be varied or discharged; and

      (d)     a signature purporting to be made by a person holding any office in a society attached to a writing whereby any contract purports to be made, varied, or discharged by or on behalf of the society shall prima facie be taken to be the signature of a person holding, at the time when the signature was made, the office so stated.

    (2)   All contracts which may be made, varied, or discharged according to the provisions herein contained shall, so far as concerns the form thereof, be effectual in law and binding on the society and all other parties thereto, their heirs, executors, or administrators, as the case may be.

Officers in Receipt or Charge of Money
