3.   Conflict of laws

The rights and obligations of all parties before the Court shall primarily be governed by this Code. But if it appears to the Court that the parties intended, or may fairly be presumed to have intended, their rights and obligations to be governed, or that their rights and obligations ought by virtue of trade usage or for any other reason to be governed, by the law of some other country or place, then the rights and obligations of the parties (except as to procedure) shall be governed by the law of such other country or place, and the Court shall determine them accordingly.
