13.   Liability for false statements in memorandum

If a memorandum contains a false statement, a person who suffers loss by reliance on such statement may hold liable the international general partners and the registered agent who made the statement and who knew or should have known the statement to be false —

  1.  

    (a)     at the time the registered agent signed the memorandum; or

  1.  

    (b)     after the memorandum was signed, but within a sufficient time before the statement was relied upon to allow the filing of a supplementary memorandum with the necessary changes.
