7.   Board of Directors

  1.  

    (1)   The Authority shall be governed by a Board of Directors.

  1.  

    (2)   The Board of Directors consists of 7 directors of whom —

    1.  

      (a)     three must be persons appointed by the Minister in writing;

    1.  

      (b)     one must be a person appointed by the Minister in writing to be Chairperson; and

    1.  

      €     three must be persons nominated by primary —

      1.  

        (i)     hotel and tourism associations, and

      1.  

        (ii)     trade associations;

      1.  

        for appointment by the Minister in writing;

    1.  

      (Substituted by Act 4 of 2018 and amended by Act 12 of 2020)

      (d)     the Permanent Secretary of the Ministry responsible for tourism, who is an ex officio member. (Inserted by Act 12 of 2020)

    (3)   The directors shall be appointed from amongst persons who have had experience in, and shown capacity in matters relating to —

    1.  

      (a)     law;

    1.  

      (b)     marketing;

    1.  

      €     business;

    1.  

      (d)     finance and accounting; (Amended by Act 4 of 2018)

      €     tourism; and (Amended by Act 4 of 2018)

      (f)     trade. (Inserted by Act 4 of 2018)

    (4)   Prior to the first occasion on which an appointment is to be made under subsection (2)€, and on each later occasion when an office of a director becomes vacant, the Minister shall in writing, request the relevant association under subsection (2)€ to nominate within 7 days of receiving the request, a person to the Board. (Amended by Act 4 of 2018)

    (5)   If a nomination is not received by the Minister within the period requested, the Minister may appoint a person he or she thinks fit and a person appointed under this subsection holds office as if nominated under subsection (4).

    (6)   The directors shall designate one of their number as the Deputy Chairperson.

    (7)   Where the Chairperson is absent, the Deputy Chairperson shall have all the powers of the Chairperson.

    (8)   The Minister shall by notice published in the Gazette provide the names of the directors as is first constituted and every change in the constitution of the Board.
