The Chief Corporate Officer shall —
(a) serve as Secretary to the Board;
(b) manage Board and Committee meeting logistics;
€ attend and record minutes of Board and Committee meetings;
(d) facilitate Board communications;
€ monitor corporate governance developments;
(f) assist the Board in adhering to governance practices; and
(g) be responsible for the human resources, administration and information technology.
