(1) A director may be appointed to hold office for a term of not more than 3 years and not less than one year, so that no more than 5 directors' term of office expires within 12 consecutive months.
(2) A director shall be eligible for re-appointment.
(3) A director appointed to fill a vacancy shall hold office for the unexpired term of his or her predecessor.
