(1) A vestry may act notwithstanding a vacancy among the members thereof and the validity of any proceedings of a Vestry shall not be effected by any vacancy among the members or by any defect in the election of members thereof.
(2) The acts of a quorum at any meeting of a Vestry shall be considered as the acts of the Vestry and shall be valid and effectual as if the same had been done by all the members of the Vestry for the time being and shall be binding on all the members of such Vestry.
