101.   Right to indemnity

Despite anything in section 99 or 100, a person described in section 99 is entitled to indemnity from the company in respect of all costs, charges and expenses reasonably incurred by him or her in connection with the defence of any civil, criminal or administrative action or proceeding to which he or she is made a party by reason of being, or having been, a director or officer of the company or body corporate, if the person seeking indemnity—

  1.  

    (a)     was substantially successful on the merits in his or her defence of the action or proceeding;

  1.  

    (b)     qualified in accordance with the standards set out in section 99 or 100; and

  1.  

    (c)     is fairly and reasonably entitled to indemnity.
