    (Inserted by Act 14 of 2007)

This Amendment is made this 24th day of July, Two Thousand and seven to THE AGREEMENT dated June 21, 1977 (hereinafter referred to as THE AGREEMENT)

BETWEEN: (1) THE GOVERNMENT OF SAINT LUCIA and (2) THECABINET OF MINISTERS FOR SAINT LUCIA established under section 61 of the SAINT LUCIA Constitution Order 1978 (together hereinafter referred to as THE GOVERNMENT), acting herein and represented by the HONOURABLE STEP432HENSON KING, Acting Prime Minister in the presence of the RIGHT HONOURABLE SIR JOHN GEORGE MELVIN COMPTON of the one part

AND: HESS OIL ST. LUCIA LIMITED, a company duly incorporated under the Commercial Code of the State of SAINT LUCIA and having its registered office at 20 Micoud Street in the City of Castries in the said State (hereinafter referred to as HESS) acting herein and represented by John Hess and J. Barclay Collins both Directors of HESS, of the other part

WHEREAS the parties hereto entered into THE AGREEMENT dated June 21, 1977;

WHEREAS, THE TERMINAL has been constructed in accordance with THE AGREEMENT;

WHEREAS, THE GOVERNMENT agreed in a letter to HESS dated November 29, 1993, (THE AGREEMENT LETTER) that the construction of THE REFINERY should be kept in abeyance, that the tax concession referred to in THE AGREEMENT shall expire on September 30, 2013 and that the right and licence to operate in SAINT LUCIA shall expire on September 20, 2043;

WHEREAS, HESS is contemplating the possibility of constructing THE REFINERY and is seeking to extend the terms of THE AGREEMENT for a period of fifty years from THE PRODUCTION DATE, with continuing twenty five year options, in keeping with the intent of clause (III) of THE AGREEMENT; WHEREAS, THE GOVERNMENT considers that the continued operation of THE PROJECT and the construction of THE REFINERY will be substantially to the benefit of the State of SAINT LUCIA in its economy and otherwise and agrees to extend the terms of THE AGREEMENT for such fifty year period, with continuing twenty-five year options, in keeping with the intent of clause (III) of THE AGREEMENT;

WHEREAS, THE GOVERNMENT currently owns certain parcels of land totalling approximately one hundred and ninety six (196) acres adjacent to the existing PROJECT SITE which Hess desires to purchase and use in connection with THE PROJECT and the possible construction of THE REFINERY and THE GOVERNMENT desires to sell such land to HESS;

WHEREAS, THE GOVERNMENT AND HESS have negotiated terms and conditions which they mutually agree are essential to the continued viability and operation of THE PROJECT and are reasonable in relation to the magnitude of the investment required to be made by HESS in respect of THE PROJECT and in relation to the advantages and benefits which SAINT LUCIA and the people of SAINT LUCIA will directly derive from THE PROJECT, including, without limitation, extending the right and licence to construct THE REFINERY and to own and operate THE PROJECT at THE PROJECT SITE and the exemption from taxes relating to constructing, owning, operating and/or maintaining THE TERMINAL, THE REFINERY, THE HARBOUR AND RELATED FACILITIES to the date fifty years from THE PRODUCTION DATE;

WHEREAS, the parties hereto desire to amend THE AGREEMENT as set forth herein;

NOW THEREFORE THIS AGREEMENT WITNESSES AS FOLLOWS—

(I)   Interpretation

  1.  

    (1)   Unless otherwise separately defined herein, each term used herein which is defined in THE AGREEMENT shall have the meaning assigned to such term in THE AGREEMENT, including the Schedule thereto.

  1.  

    (2)   Each reference to “hereof”, “hereunder”, “herein” and “hereby” and each other similar reference and each reference to “this Agreement” and each other similar reference contained herein, shall from and after the date hereof refer to THE AGREEMENT as amended by this AMENDMENT.

(II)   Amendment of clause (ii) of the agreement

Clause (II) (THE FUNDAMENTAL TERM) is amended by inserting the following sub-clause (4) immediately after sub-clause (3):

  1.  

    “(4)   This AMENDMENT to THE AGREEMENT and the various covenants on the part of THE GOVERNMENT and HESS contained herein shall be subject to and conditional upon the passage of an amendment to THE ACT by the House of Assembly of Saint Lucia on or before October 31, 2007 or such later date as the parties hereto may agree upon in writing.”.

(III)   Amendment of clause (iii) of the agreement

Clause (III) (GRANT OF RIGHT AND LICENSE TO ESTABLISH AND OPERATE THE PROJECT) is amended to extend HESS' right and licence to own, construct and operate THE PROJECT for fifty years from THE PRODUCTION DATE by adding the following sentence after the penultimate sentence at the end of the paragraph:

“Notwithstanding any agreement between the parties to the contrary, including, but not limited to, THE AGREEMENT LETTER, HESS shall have the right and licence to own, construct and operate THE PROJECT at THE PROJECT SITE from the date of this AMENDMENT to THE AGREEMENT to the date fifty years from THE PRODUCTION DATE, with an option to HESS to extend the said right and license for a further period or periods of twenty five years each, such extension or extensions to be upon such terms and conditions as the parties mutually agree.”.

(IV)   Amendment of clause (iv) of the agreement

  1.  

    (1)   Clause (IV)(1) (CONSTRUCTION OF THE PROJECT) is amended:

    1.  

      (a)     in paragraph (a)(iv) by deleting the words “not later than the date of the completion of construction of THE TERMINAL,” and substituting the words “within a reasonable period of time after obtaining all necessary approvals”;

    1.  

      (b)     in paragraph (c) is by inserting the words “and the preservation of the natural environment of Saint Lucia” after the word “pollution” appearing in that paragraph;

    1.  

      (c)     by inserting the following new paragraphs (d) and (e) after paragraph (c):

      1.  

        “(d)     For clarification purposes, HESS agrees that the design, engineering, and construction of THE REFINERY shall be in accordance with world class engineering standards currently employed in the refining industry.

      1.  

        (e)     For clarification purposes, HESS agrees that it will construct and operate THE REFINERY in accordance with all existing environment, health and safety laws, rules and regulations established by THE GOVERNMENT. HESS understands that THE GOVERNMENT is a party to several international and regional conservation treaties, declarations and multilateral environmental agreements including those established by the Organization of Eastern Caribbean States and the United Nations. HESS will operate the facility in compliance with regulations established by THE GOVERNMENT to conform to these treaties, declarations and agreements. Furthermore, HESS will operate THE REFINERY in such manner as practicable to minimize or eliminate accidental releases of petroleum or PETROLEUM PRODUCTS to the environment. HESS understands that the THE GOVERNMENT is a signatory to the Protocol on Cooperation in Combating Oil Spills and will work with the National Emergency Management Office to insure that in the event of an accidental spill or release proper steps are taken to efficiently remediate the environmental impacts of the spill.”.

  1.  

    (2)   Clause (IV)(2) (TERMINAL THROUGHPUT CHARGES) is amended—

    1.  

      (a)     by deleting the words “two cents” and substituting the words “five cents”;

    1.  

      (b)     by adding the following sentence at the end of the clause:

  1.  

    “Such throughput charges will increase by one half of one cent United States currency on the five year anniversary of the effective date of this --AMENDMENT and each fifth year anniversary date thereafter.”.

  1.  

    (3)   Clause (IV)(3) (REFINERY THROUGHPUT CHARGES) is amended—

    1.  

      (a)     by deleting the words “four cents” and inserting the words “ten cents”;

    1.  

      (b)     by adding the following sentences to the end of the paragraph:

  1.  

    “Such throughput charges will increase by one cent United States currency on the five year anniversary of THE PRODUCTION DATE and each fifth year anniversary date thereafter. Upon completion of the REFINERY, HESS will make available for sale to THE GOVERNMENT for its own use, including use by Saint Lucia Electricity Services Limited for electric power generation, and to other customers approved by HESS, in its sole discretion, PETROLEUM PRODUCTS at ex-refinery market related competitive prices.”.

(V)   Amendment of clause (v) of the agreement

  1.  

    (1)   Clause (V)(3) (CHANNELS, DREDGING, ETC.) is amended—

    1.  

      (a)     by inserting after the words “provided that” the words “it receives the prior approval of THE GOVERNMENT as to the location of such disposal”;

    1.  

      (b)     by inserting the following sentence at the end of the clause:

  1.  

    “If dredging is required in connection with the construction of THE REFINERY and HESS elects not to utilize the dredge material, HESS will offer at no charge such material to THE GOVERNMENT for its own use.”.

  1.  

    (2)   Clause (V) (5) (RETAINING STRUCTURES, BULKHEADS, ETC.) is amended by inserting, after the words “no navigational” the words “or environmental”.

  1.  

    (3)   Clause (V) (6) (LAND PURCHASE) is amended by making the current subclause paragraph “(a)” and by adding the following new paragraphs (b) and (c):

    1.  

      “(b)     THE GOVERNMENT hereby further covenants to sell to HESS approximately one hundred and ninety six acres of land consisting of the following three parcels: (i) approximately 188 acres identified as Land Registry Block 0645B, Parcel Number 24, (ii) approximately 1.35 acres identified as Land Registry Block 0845B, Parcel Number 68 and (iii) approximately 7.05 acres of the Queen's Chain identified as Land Registry Block 0845B, Parcel Number 1 at a price, in the case of each such parcel, equal to the average of the fair market value of each such parcel based on its current condition and use as separately determined by two independent appraisers, one selected by HESS and the other selected by THE GOVERNMENT. THE GOVERNMENT, on receiving payment in accordance with the terms of such sale, shall convey to and vest in HESS such land free and clear of all liens, encumbrances, rights of way, easements or restrictions.

    1.  

      (c)     Hess shall be responsible for the cost of any surveys made in connection with its purchase of any land pursuant to subparagraph (b).

If, in connection with the construction of the REFINERY, HESS determines that it is necessary or desirable to relocate the public highway currently traversing Parcel Number 24, HESS will (i) employ a contractor reasonably acceptable to THE GOVERNMENT to construct a public road in accordance with the standards currently employed in public highway construction on Saint Lucia, (ii) be responsible for all costs associated with the construction of such relocated road, (iii) ensure that such contractor consults with and obtains the approval of THE GOVERNMENT for the location and alignment of such road with a width sufficient to accommodate a separate dedicated lane for container port traffic and a round-about interconnection at its easterly interconnect with the west coast highway before constructing such road and (iv) upon completion, exchange with THE GOVERNMENT ownership of that portion of the relocated road for that portion of the current road existing at the time of this AMENDMENT located within Land Registry Block 0645B, Parcel Number 24. After completion of the road, THE GOVERNMENT shall be responsible for its support and maintenance”.

  1.  

    (4)   Clause (V) (12) (EXEMPTION FROM TAXATION, ETC) is amended—

    1.  

      (a)     by inserting at the beginning of paragraph (a) the following:

  1.  

    “Notwithstanding any agreement between the parties to the contrary, including THE AGREEMENT LETTER”; and

    1.  

      (b)     by deleting the words “hereof to the date twenty” appearing in that clause and substituting the words “of this AMENDMENT to THE AGREEMENT to the date fifty”.

  1.  

    (5)   Clause (V)(14) (HARBOUR USE CHARGES, ETC) is amended by inserting the following sentence at the end of the clause:

  1.  

    “THE GOVERNMENT agrees that vessel movements in THE HARBOUR for the purpose of loading or discharging at THE PROJECT shall have first priority over all other vessel movements in THE HARBOUR and, HESS and THE GOVERNMENT shall cooperate and jointly agree on a Marine Manager to coordinate all vessel movements in THE HARBOUR.”.

(VI)   Amendment of clause (vi) of the agreement

  1.  

    (1)   Clause (VI)(b) (TRAINING) is amended by inserting the following sentence at the end of the clause:

  1.  

    “In connection with the foregoing, promptly after making a final determination to proceed with the construction of THE REFINERY, HESS will establish a vocational educational and training program to adequately prepare Saint Lucians for employment at THE REFINERY.”.

  1.  

    (2)   Clause (VI)(c) (WORK PERMITS) is amended by inserting, after the words “on the grounds of national”, the words “interest or”.

(VII)   Amendment of clause (vii) of the agreement

Clause (VII) (IMPRACTICABILITY) is amended by adding the following paragraph to the end of the clause (VII):

  1.  

    “If HESS elects at a later date to close the REFINERY for a period of more than 12 months, HESS shall provide the GOVERNMENT with 60 days advance notice of any such closing and shall ensure that all process equipment, buildings and structures are safely decommissioned and that any remaining equipment or structures do not present an immediate or long-term safety hazard to the community.”.

(VIII)   Amendment of clause (viii) of the agreement

Clause (VIII) (IMPAIRMENT AND FAVOURED TREATMENT) is amended by inserting, after the word “corporation” appearing in that clause the words “in the same business as HESS”.

(IX)   Amendment of clause (xi) of the agreement

Clause (XI) (ARBITRATION) is amended by deleting the words “THE GOVERNMENT hereby waives any statutory or other defence or sovereign immunity in any proceedings and in the entry of any award rendered and the enforcement of any judgment upon any award rendered.”.

(X)   Amendment of clause (xiii) of the agreement

Clause (XIII) (NOTICE) is amended by deleting the notice provisions and replacing them with the following:

(XI)   Amendment of the definition of the term “the profect site”

The definition of the term “THE PROJECT SITE” is hereby amended by inserting after the word “Agreement” and before the semicolon the following: “, plus the land parcels of approximately one hundred and ninety six (196) acres to be acquired by HESS pursuant to clause (V)(6) of this Agreement”.

(XII)   Effect of amendment

Except as expressly set forth herein, this AMENDMENT to THE AGREEMENT shall not constitute amendment of the surviving terms and conditions of THE AGREEMENT and all such terms and conditions shall remain in full force and effect and are hereby ratified and confirmed in all respects.

(XIII)   Counterparts

This Agreement may be executed simultaneously in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

CUL DE SAC HARBOUR REGULATIONS – SECTION 6

Commencement [30 June 1979]

PART 1

1.   Citation

These Regulations may be cited as the Cul de Sac Harbour Regulations.

2.   Interpretation

In these Regulations—

Act” means the Oil Refinery Act;

Cul de Sac Harbour” means that area shown as the Harbour on the Cul de Sac Harbour and Approaches Chart dated 22 May 1979 and attached hereto and made a part hereof;

Cul de Sac Approaches” means that area shown as the Approaches to Cul de Sac Harbour on the Cul de Sac Harbour and Approaches Chart dated 22 May 1979 and attached hereto and made a part hereof;

Marine Manager” means the person appointed and employed by Hess or The Affiliates to act as such;

Pilot” means a person appointed by Hess or The Affiliates having either a licence to act as a pilot issued by the Government or other licence or certificate acceptable to Hess or The Affiliates issued by a recognised authority in a major maritime nation;

Project” means the Terminal, the Refinery and Related Facilities;

Seabuoy” means the buoy located at latitude 13° 59' 50" N. and longitude 61° 01' 33" W. as shown on the Cul de Sac Harbour and Approaches Chart dated 22 May 1979 and attached hereto and made a part hereof;

ship” means a Vessel in excess of 100 tons gross register;

tug” means a tug designated by Hess or The Affiliates to assist ships in the Cul de Sac Harbour;

vessel” means any ship, tug, barge or boat of any kind whatsoever, whether the same is propelled by steam or otherwise or is towed.

PART 2

3.   Scope of Regulations

These Regulations shall apply to all vessels entering into or departing from the Cul de Sac Harbour or moving in or out of the Cul de Sac Approaches.

4.   Compliance with Orders

All orders or directions given under these Regulations shall be promptly and strictly obeyed.

5.   Rules of the Road

The International Rules of the Road shall be strictly complied with, provided, that all vessels of less than 100 tons gross register shall give way to ships.

6.   Aids to Navigation

Hess and The Affiliates shall have the right to install and maintain all buoys, lights, markers and other navigation aids shown on the Cul de Sac Harbour and Approaches Chart dated 22 May 1979, and, further, shall have the right to install and maintain all such other buoys, lights, markers and other navigation aids in the Cul de Sac Harbour and the Cul de Sac Approaches as they deem necessary or appropriate.

7.   Copy of Regulations

Masters of Ships shall obtain a copy of these Regulations free of charge, on their arrival at the Cul de Sac Harbour.

8.   Restricted Use

Only vessels inbound or outbound from the Cul de Sac Harbour may use or be present in the Cul de Sac Approaches. A vessel shall not enter the Cul de Sac Harbour except for the purpose of using the facilities located therein and then only in compliance with the directions of the Marine Manager.

9.   Pilotage

Pilotage shall be compulsory and every ship, save ships belonging to Her Majesty or the Government, inbound to or outbound from the Cul de Sac Harbour, shall engage the services of a pilot who shall be aboard the ship whilst it is underway in the Cul de Sac Harbour and the Cul de Sac Approaches.

10.   Towage

Assistance, docking and undocking in the Cul de Sac Harbour shall be compulsory and shall be performed only by tugs.

11.   Terminal Regulations

All ships whilst at the project shall comply with Hess Marine and Terminal Regulations, a copy of which shall be supplied on request to masters of ships on their arrival at the Cul de Sac Harbour.

12.   Crew

All vessels whilst in the Cul de Sac Harbour shall have on board at all times the crew needed to handle the vessel in case of an emergency.

13.   Anchoring

A vessel shall not anchor at anytime within the Cul de Sac Harbour or the Cul de Sac Approaches without the prior authorisation of the Marine Manager.

14.   Pollution

A vessel whilst in the Cul de Sac Harbour or under way in the Cul de Sac Harbour or the Cul de Sac Approaches shall not discharge any dirty ballast, oil, bilge water, garbage or other polluting substance into the water.

15.   Readiness of Vessel

A vessel whilst in the Cul de Sac Harbour shall not dismantle its boilers or main engines or otherwise render itself inoperable.

16.   Display of Flags

Vessels entering the Cul de Sac Harbour during the day time shall show their national flag and shall continue to do so between sunrise and sunset when moored. In addition, vessels of foreign registry shall fly the Saint Lucia flag at the foremast when moored.

17.   Ship Entry and Clearance
  1.  

    (1)   Cul de Sac Harbour is hereby declared to be and is a Port for the purposes of Customs.

  1.  

    (2)   All vessels arriving from any place outside Saint Lucia shall obtain pratique and clear customs and immigration in the Cul de Sac Harbour prior to loading or discharging cargo. All vessels shall obtain appropriate clearances prior to departure.

  1.  

    (3)   Any vessel destined to or departing from the project shall have priority over all other vessels for all purposes under these Regulations.

  1.  

    (4)   Recognising that the project will be operated 24 hours a day, 7 days a week, customs, immigration and health authorities shall insure the availability of appropriate personnel at the project for entry and clearance of vessels at the project at all times.

18.   Charges
  1.  

    (1)   Charges for pilotage, towage and other services required for vessels using the project shall be in accordance with the tariff(s) published by Hess or The Affiliates.

  1.  

    (2)   Charges for pilotage, towage and other services for vessels using facilities within the Cul de Sac Harbour other than the project shall be in accordance with the tariff(s) established by mutual agreement between the Government and Hess or The Affiliates.

PART 3

19.   Pilots

All pilotage in the Cul de Sac Harbour and the Cul de Sac Approaches shall be performed only by pilots. The master or owner of a ship navigating in circumstances in which pilotage is compulsory is liable for any loss or damage caused by the ship in the same manner as he or she would if pilotage were not compulsory.

20.   Authority of Marine Manager
  1.  

    (1)   The Marine Manager shall be the competent authority for enforcement of these Regulations;

  1.  

    (2)   The Marine Manager shall—

    1.  

      (a)     direct where any vessel shall be moored within the Cul de Sac Harbour at the project,

    1.  

      (b)     regulate the movement of vessels within the Cul de Sac Harbour and ships in the Cul de Sac Approaches destined to or departing from the Cul de Sac Harbour.

  1.  

    (3)   In the case of refusal or failure to comply with any direction given under paragraph (b) the Marine Manager may, without prejudice to any other proceeding which may be instituted against any person, cause to be done all such acts as are in his or her opinion reasonable or necessary for the purpose of carrying out such direction and may employ such persons or equipment as he or she deems proper and necessary for such purpose. All expenses incurred in the performance of such acts shall be paid and borne by the person and/or vessel so offending.

    (4)   

    1.  

      (a)     The Marine Manager may have removed any wreck or other obstruction in the Cul de Sac Harbour or the Cul de Sac Approaches which endangers or obstructs the safe and free navigation in the Cul de Sac Harbour or the Cul de Sac Approaches.

    1.  

      (b)     The owner of any wreck or other thing removed by the Marine Manager under the provisions of paragraph (4)(a) shall, without prejudice to any other action which may be taken against him or her or rights of action which may exist against other parties, is liable to pay the reasonable expenses of such removal; and such wreck or other thing may be detained by the Marine Manager until such expenses and customs duties, dues or charges payable in respect thereof are paid.

    1.  

      (c)     Where any wreck or thing is removed under the provisions of paragraph (4)(a) and the expenses of removal have not been paid within 7 days of such removal, the Marine Manager may, without prejudice to any other action or right of action, cause such wreck or thing to be sold by public auction and shall out of the proceeds of sale retain the amount necessary to meet the expenses of such removal, detention and sale and any customs duties, dues or charges payable in respect thereof and shall retain the balance, if any, for the benefit of the person appearing to him or her to be entitled.

    (5)   

    1.  

      (a)     In the event of any fire on board any vessel in the Cul de Sac Harbour, the Marine Manager may proceed on board such vessel without any let or hindrance with such assistance and persons as to him or her seem necessary and may give such orders as to him or her seem necessary for the safety of such vessel or other vessel in the Cul de Sac Harbour and take any other measures as to him or her appear prudent or expedient for the protection of life and property.

    1.  

      (b)     If such orders are not carried out as soon as possible by the Master of such vessel, the Marine Manager may proceed to put them into effect.

    1.  

      (c)     Any expense incurred in the exercise of the powers conferred by subregulations (5)(a) and (5)(b) of this regulation shall be recoverable from the master and/or owners of the vessel as a civil debt.

21.   Liability
  1.  

    (1)   Neither the Government nor Hess nor The Affiliates shall be liable for loss or damage occasioned by any act, omission or default of a Pilot or Marine Manager.

  1.  

    (2)   Any Pilot appointed hereunder whilst engaged in any act of pilotage shall notwithstanding that he or she may be employed by Hess or The Affiliates, be deemed to be the servant of the master or owner of the ship under pilotage.

  1.  

    (3)   A Pilot or Marine Manager who has given a bond in accordance with subregulation (4) is not liable for neglect, want of skill or incapacity in office beyond the penalty of such bond and, in the case of a Pilot, the amount payable on account of pilotage in which he or she was engaged when he or she became so liable.

  1.  

    (4)   Every Pilot and Marine Manager shall give a bond in the sum of $1,000 in favour of Hess or The Affiliates for the proper performance of his or her duties under these Regulations.

  1.  

    (5)   Any bond given by a Pilot or Marine Manager in accordance with this regulation shall not be liable to stamp duty.

  1.  

    (6)   Where any proceedings are taken against a Pilot or Marine Manager for any neglect, want of skill or incapacity in office in respect of which his or her liability is limited as provided by this regulation, and other claims are made in respect of the same neglect, want of skill or incapacity in office, the court in which such proceedings are taken may—

    1.  

      (a)     determine the amount of such pilot or Marine Manager's liability and, upon payment by him or her of such amount into court, distribute such amount rateably among the several claimants;

    1.  

      (b)     stay any proceedings pending in any other tribunal in relation to the same matter; and

    1.  

      (c)     proceed in such manner and subject to such directions as to making persons interested parties to the proceedings, and as to the exclusion of any claimants who have not submitted their claim within a certain time, and as to requiring security from such Pilot or Marine Manager, and as to payment of any costs as the court thinks fit.

  1.  

    (7)   Any proceedings affecting a pilot or Marine Manager as such or involving pilotage under these Regulations shall be determined by a judge of the High Court and the judge shall call upon 2 persons with nautical experience to sit with him or her as assessors in any such proceedings. The High Court shall have power to regulate any proceedings which have been referred to it under this Regulation.

PART 4

22.   Obstruction of Fairways

Fish nets, fish traps, unauthorised buoys or any other obstructions to navigation are prohibited in either the Cul de Sac Harbour or the Cul de Sac Approaches. For the safety of navigation, the Marine Manager may immediately remove, or cause to be removed, any such obstructions if he or she deems it necessary so to do.

23.   Penalties
  1.  

    (a)     Any person who acts in contravention of or fails to comply with any of the foregoing Regulations shall be liable on summary conviction thereof to a penalty not exceeding $1,000 or 6 months imprisonment or to both fine and imprisonment.

  1.  

    (b)     Except for offences relating to customs, health or immigration proceedings for any offences under these Regulations shall be instituted by the Marine Manager or any person so authorised by him or her in writing.
