5.   Appointment of General Manager

  1.  

    (1)   The Board of the Authority (in this Act referred to as “the Board”) shall, with the approval of the Minister appoint a General Manager at a salary and upon terms or conditions as it may determine.

    (2)   The General Manager shall be the Chief Executive Officer of the Authority.

  1.  

    (3)   The General Manager shall exercise the functions entrusted to him or her by this Act and shall be present at all meetings of the Board unless the General Manager—

    1.  

      (a)     is instructed by the chairperson to withdraw from a meeting;

    1.  

      (b)     has obtained leave of absence from the chairperson; or

    1.  

      (c)     is incapacitated by illness or other cause from attending a meeting.

    (4)   In the event of absence of the General Manager, the Board may, by instrument in writing and with the approval of the Minister, appoint a person to act as General Manager during the period of absence, upon such terms or conditions as the Board may determine.
